Eskimo Pie, a relatively small division of a larger manufacturing firm, was being sold to Nestlé, which planned to incorporate the product line, close all existing operations and lay off all personnel. After failing to pull off a leveraged buyout, Eskimo Pie management had one hope left: make Eskimo Pie an independent, public company by offering shares to the public through an IPO.
